ACQUISITIONS & DISPOSITIONS
Roth Bierman attorneys work with the purchase and sale of all types of real estate for public and private clients, from raw land to fully constructed and occupied buildings, and including purchases and sales of investment properties. We have experience in drafting and negotiating letters of intent, purchase agreements, confidentiality agreements, option agreements, and agreements for Section 1031 and other land exchanges. Our attorneys are highly skilled in providing the legal due diligence underlying every type of real estate acquisition and identifying and resolving significant diligence issues for our clients We are accustomed to identifying and clearing up unusual title exceptions and negotiating title insurance endorsements to ensure a successful and timely closing for our clients.
LEASING
Our attorneys frequently represent real estate owners, tenants, developers, lenders, investors, and managers in all aspects of commercial and industrial leasing. Legal services provided include drafting, reviewing, and negotiating office, retail, industrial and apartment leases, as well as ground leases. We have prepared and reviewed assignments, lease amendments, construction contracts, memoranda of leases, subordination agreements, estoppels, equipment leases, bills of sale, nondisturbance and attornment agreements, promissory notes and financing documents, and have negotiated termination agreements and settlement agreements.
FINANCING
Roth Bierman attorneys regularly represent both lenders and borrowers in structuring, documenting and closing loans and other credit facilities secured by real estate. We help our clients with financing provided by banks, life insurance companies, securitized lenders, pension funds, the SBA, HUD, or other specialty lenders. We are experienced in assisting our clients in procuring financing for transactions through bond financings, mezzanine loans, tax increment financing or other structured financings.
CONSTRUCTION AND DEVELOPMENT
We have experience representing clients in the development and construction of various real estate projects. Our clients include many participants in the development and construction industry: owners, developers, architects, engineers, general contractors, subcontractors, project consultants, suppliers, and sureties. We serve in an active role in all aspects of the project development and construction process, including negotiation and drafting of design and construction contracts, project finance, bid issues, change orders, extension of time and disruption claims, mechanics' liens, bond claims, mediations, and project close-outs.
